ProxLeads Terms of Service
These Terms of Service govern a contractor business’s purchase and use of ProxLeads lead-generation services, monthly CRM-access subscription, onboarding services, and related communications (collectively, the Services). By purchasing a ProxLeads subscription or lead package, creating an account, or accepting a Lead, the purchasing business (Customer) agrees to these Terms.
1. The Services
ProxLeads provides lead opportunities for roofing and gutter contractor businesses throughout the United States, subject to territory availability and any specifically stated service territory. A Lead is contact information and related opportunity details for a homeowner or property contact who has expressed interest in the relevant service category or has otherwise met the qualification criteria disclosed for the purchased package.
A Lead is exclusive when ProxLeads assigns that specific Lead to one purchasing contractor only and does not provide the same Lead record to a competing contractor through ProxLeads during the applicable lead-delivery period. Exclusivity applies to the particular Lead record. It does not guarantee a territory is permanently unavailable, a homeowner will not contact or hire another contractor independently, or another source will not provide the homeowner’s information to another business.
The Services do not guarantee a sale, appointment, inspection, insurance approval, project value, close rate, revenue, profit, or any particular business outcome. Customer remains responsible for promptly contacting Leads, independently evaluating each opportunity, providing estimates, performing contracted work, obtaining required licenses and insurance, and complying with all applicable laws.
2. Monthly CRM Access & Onboarding subscription and Lead packages
CRM Access & Onboarding is a recurring monthly subscription. The Customer authorizes an initial charge of $197 at checkout and a recurring charge of $197 every 30 days until canceled. The subscription includes territory review, onboarding coordination, private Lead-delivery workflow setup, and role-based access for authorized users to a customer-specific GoHighLevel CRM workspace for assigned Lead status and relevant homeowner communication or outreach activity that is sent, connected, or logged in that workspace.
The CRM Access & Onboarding subscription is separate from any Lead package or pay-per-Lead pilot purchase. Each purchased Lead package has a stated price, quantity, service category, delivery method, territory, and expiration period. The package terms shown at checkout control if they differ from general marketing content. Unused package capacity expires at the end of the stated package period unless ProxLeads expressly agrees otherwise in writing.
Customer may cancel the monthly subscription before the next billing date through the Whop account or by contacting dillon@proxleads.biz. Cancellation stops future monthly renewal charges. CRM access continues through the paid billing period unless access must be restricted for security, legal, or policy reasons. Paid monthly subscription charges are non-refundable except where required by law.
3. Pay-per-lead pilot option
After activation and territory review, ProxLeads may offer an eligible Customer a pay-per-lead pilot. A pay-per-lead pilot has a minimum purchase commitment of three Lead records and a stated 30-day delivery period unless a written order form states otherwise. Before delivery begins, ProxLeads and Customer will confirm in writing the service category, territory, per-Lead price, billable-Lead definition, payment method, delivery channel, and applicable review process.
For a pay-per-lead pilot, a Billable Lead is a Lead that meets the written qualification standard for the pilot and is delivered through the agreed delivery system. The price and qualification standard shown in the written pilot terms control. A Lead is not non-billable merely because the homeowner does not answer, changes their mind, hires another contractor, does not meet Customer’s internal sales criteria, or does not become a sale.
4. Customer workspace and communications visibility
During an active paid CRM Access & Onboarding subscription, ProxLeads may provide the Customer’s authorized users access to a customer-specific GoHighLevel workspace or other designated CRM view. This access is intended to let the Customer view Lead status and relevant homeowner communication associated with that Customer’s assigned Leads. Access is role-based, may be limited or removed when the paid subscription period ends or for security or policy reasons, and does not give Customer access to another contractor’s records, ProxLeads’ internal systems, or data outside the Customer’s assigned Leads.
Customer must safeguard workspace credentials, limit access to authorized personnel, and use homeowner information only to evaluate and provide the requested service. CRM visibility does not change the assignment policy, create a guarantee of contact or a sale, or change the limited-refund terms in these Terms.
5. Qualification and delivery
ProxLeads may use phone, web, data, and other lawful outreach or intake methods to identify potential opportunities. A Lead may include contact details, property location, stated service interest, estimated timing, and qualifying information. Lead availability and delivery timing are not guaranteed, including where Customer’s requested territory, service category, capacity, or qualification requirements limit supply.
Customer must contact delivered Leads promptly using lawful, professional communications. Customer may not sell, rent, publish, transfer, or use a Lead for any purpose outside evaluating and providing the service requested by that Lead. Customer must safeguard Lead information and promptly notify ProxLeads of any suspected unauthorized access or disclosure.
6. Limited refund for a qualifying defective Lead
A Customer may request a limited refund for a qualifying defective Lead by emailing dillon@proxleads.biz within seven calendar days after the Lead was delivered. The request must identify the Lead, state the reason, and include reasonable supporting records, such as call logs, screenshots, or other objective evidence.
A Lead is qualifying for this limited remedy only if ProxLeads verifies that, at the time of delivery, it was one of the following:
- an invalid or disconnected contact number;
- a duplicate of the same opportunity previously delivered by ProxLeads to the same Customer during the preceding 12 months;
- in a service category materially different from the package purchased; or
- outside the territory stated for the purchased package.
For each verified qualifying defective Lead, Customer’s sole and exclusive remedy is a refund equal to 30% of the per-Lead amount allocated to that affected Lead, excluding the activation fee, applicable taxes, and charges for other Leads. For a package with a single stated total, the per-Lead allocation is the package price divided by the stated Lead quantity. For a pay-per-lead pilot, the per-Lead amount is the written price for that individual billable Lead. ProxLeads does not provide a full package refund for an individual qualifying defective Lead.
A Lead does not qualify for a refund because Customer does not close a sale, the homeowner does not answer or respond, the homeowner changes their mind, the homeowner receives another estimate, the project is not economically suitable for Customer, Customer cannot schedule work, an insurance claim is denied, a property condition changes, or Customer otherwise chooses not to pursue the opportunity.
ProxLeads may investigate a request and may require reasonable cooperation. Approved refunds are returned through the original payment method where practicable. Chargebacks or payment disputes do not replace this process. Customer must contact ProxLeads first so the matter can be reviewed.
7. Customer representations
Customer represents that it is a legitimate business, is legally authorized to provide the services it offers, maintains all licenses, permits, insurance, and registrations required for its work, and will comply with consumer-protection, advertising, privacy, telemarketing, texting, data-security, and other applicable laws. Customer will not make false statements, use high-pressure or deceptive sales tactics, or contact a Lead in a way that violates an opt-out, consent requirement, or applicable do-not-call rule.
8. Payments, cancellation, and disputes
Prices are stated in U.S. dollars unless otherwise indicated. Customer authorizes ProxLeads and its payment processor to charge the price and applicable taxes or fees displayed at checkout, including the recurring $197 CRM Access & Onboarding subscription charge every 30 days until canceled. A payment is not refundable except as expressly stated in these Terms or where required by law.
ProxLeads may suspend lead delivery where payment is failed, reversed, disputed, fraudulent, or reasonably believed to violate these Terms. Customer remains responsible for payment disputes, cardholder authorization issues, and any information supplied at checkout.
9. Intellectual property and confidentiality
ProxLeads owns its brand, website content, systems, qualification methods, software, and non-public business materials. Customer receives a limited, non-transferable right to use the Services for its internal business purpose during the purchased package period. Customer will not reverse engineer, copy, scrape, resell, sublicense, or publicly disclose ProxLeads’ non-public systems, pricing strategy, or Lead data except as required by law.
10. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Services are provided on an “as available” basis. ProxLeads disclaims warranties not expressly stated in these Terms, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and business results.
To the fullest extent permitted by law, ProxLeads’ total liability arising from a Customer’s purchase or use of a package will not exceed the amount actually paid to ProxLeads for the specific package giving rise to the claim. ProxLeads will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages.
11. Changes and contact
ProxLeads may update these Terms prospectively by posting a revised effective date on its website or checkout page. Material changes will not retroactively reduce a remedy for a package already purchased unless permitted by law.

12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except where applicable law requires otherwise.
